Terms of Service
The agreement between your company and us when you use LoadKeel.
Last updated October 21, 2026
1. Who these terms are between
LoadKeel is a transportation management system (TMS) for freight brokerages, provided by Syscode Technology (“we”, “us”). These terms are between us and the company that uses LoadKeel (“you”). The person who accepts them for your company confirms they are allowed to do so. By signing in to LoadKeel, you agree to these terms.
2. Your account
- We create your company’s account and its first Owner login. Your Owner or Admin then adds your team and chooses each person’s role.
- You are responsible for everything done under your company’s logins. Keep passwords private, use each login for one person only, and remove people who leave.
- Tell us straight away if you think someone has got into your account.
3. Free trial
A trial lets you use LoadKeel free for the period we agree with you, usually 14 days. We may extend it. When a trial ends without a paid plan, sign-in stops but your data is kept for 30 days, so you can pick up where you left off if you subscribe in that time.
4. Plans and payment
- Prices are on our pricing page or in the quote we send you. They are in US dollars and exclude any taxes, which you pay.
- You are billed monthly, in advance, for the number of users on your account.
- There is no long-term contract. You can cancel at any time, effective at the end of the month you have paid for. We don’t refund part months.
- If a payment is more than 14 days late, we may pause your account until it is paid. We will warn you first.
- We may change prices with at least 30 days’ notice. The change applies from your next billing month after the notice.
5. Your data
- Your data stays yours. Your loads, customers, carriers, documents and financial records belong to your company.
- We use your data only to run LoadKeel for you, keep it secure and back it up, and help you when you ask for support. We don’t sell it and we don’t share it with other LoadKeel customers.
- Each company’s data is kept separate from every other company’s.
- You can ask for an export of your data at any time while you are a customer and for 30 days after you leave. After that we delete it, except anything we must keep by law, and backups, which expire on their normal cycle.
- You are responsible for having the right to put data into LoadKeel, including your customers’ and carriers’ contact details.
6. Carrier data and the AI assistant
- Carrier Finder and the SAFER snapshot show public data from the US Federal Motor Carrier Safety Administration (FMCSA), much of it reported by the carriers themselves. It can be out of date or wrong.
- Always check a carrier’s operating authority, insurance and safety record yourself before you book. Choosing and vetting carriers is your decision.
- The AI assistant can make mistakes. It only drafts changes; nothing is saved until a person confirms it. Check its answers before relying on them.
7. Acceptable use
You agree not to:
- use LoadKeel for anything unlawful, fraudulent or deceptive, including double brokering or impersonating another company;
- try to reach another company’s data, get around sign-in or permission controls, or test our security without our written permission;
- copy, resell or bulk-download Carrier Finder data or other parts of the service to build a competing product or list;
- upload anything harmful, such as malware;
- overload the service on purpose, or use automated tools against it except as we allow.
We may suspend a login or account that breaks these rules. We will tell you why, unless the law or a security risk prevents it.
8. Availability and changes
We work to keep LoadKeel available and fast, but we don’t promise it will never be interrupted. We may need short maintenance breaks, and we try to schedule them outside US business hours. We keep improving LoadKeel and may change or remove features; if we remove something important you use, we will tell you in advance.
9. Security
We protect your data with sign-in codes, lockout after repeated wrong passwords, role-based permissions checked on our servers, encrypted connections and nightly off-site backups. See our security page. No system is perfectly secure; if we learn of a breach affecting your data, we will tell you promptly.
10. Confidentiality
Each of us will keep the other’s non-public business information confidential and use it only for the purposes of these terms.
11. Warranties
We will provide LoadKeel with reasonable skill and care. Apart from that, LoadKeel is provided “as is”: to the extent the law allows, we don’t give any other promises, such as that it will suit a particular purpose or be error-free.
12. Limits on liability
- Neither of us is liable to the other for indirect or consequential losses, or for lost profits, revenue, business or data, however caused.
- Our total liability to you under these terms in any 12 months is limited to the fees you paid us in those 12 months.
- We are not responsible for your freight, your loads, your dealings with your customers and carriers, or decisions you make using LoadKeel or the data in it.
- Nothing in these terms limits liability that cannot be limited by law.
13. Ending the agreement
You can stop using LoadKeel at any time (see section 4). We can end these terms with 30 days’ notice, or straight away if you seriously break them and don’t fix it within 14 days of being told. Sections 5, 10, 12 and 13 continue to apply afterwards.
14. Changes to these terms
We may update these terms. If a change matters, we will tell your Owner at least 30 days before it applies. The date at the top shows the latest version. If you keep using LoadKeel after a change applies, you accept it.
